Subscription Agreement

1. Parties

This agreement is between the business that creates an OnyxDine account (the "Customer", "you") and Onyx Enterprises, Montréal, Québec ("Onyx"). Payment is collected by Paddle.com Market Ltd as merchant of record, which resells the subscription to you; Paddle's checkout terms govern the payment transaction itself.

2. The subscription

Onyx grants you a non-exclusive, non-transferable right to use OnyxDine for the restaurant(s) on your account, for the plan you select, while the subscription is active. Plans and their limits are as published on the pricing page at the time you subscribe:

• Lite — CAD $99/month · 1 branch · up to 15 tables · 3 staff logins
• Pro — CAD $149/month · 1 branch · unlimited tables and staff
• Max — CAD $249/month · 2 branches included · extra branches $49/month each · priority support

Add-ons (Aria AI assistant, Hotel management, Accounting, Website builder, extra branches) may be added per restaurant at their published monthly price.

3. Trial

New accounts receive a 14-day free trial of the selected plan. A valid payment card is required to start. No charge is made during the trial. If you do not cancel before the trial ends, the paid subscription begins automatically.

4. Fees and billing

1. All fees are in Canadian dollars and exclude applicable taxes, which Paddle adds and collects.
2. Billing date. Subscriptions bill on the 5th of each month. The first invoice after the trial is prorated from the trial end date to the next billing date.
3. Reminder. At least 2 days before the first charge, and before each annual renewal, Onyx sends written notice of the amount, date, plan and card on file with a link to change or cancel.
4. Annual plans are billed in advance at the published annual rate.
5. Plan changes. Upgrades take effect immediately and are prorated on the current invoice. Downgrades and add-on removals take effect immediately and are prorated as a credit on the next invoice.
6. Price changes require at least 30 days' written notice and apply from your next renewal after the notice period. You may cancel before that renewal without penalty.
7. Failed payment. Paddle retries a failed charge over several days and Onyx notifies you. If payment is not received within 14 days of the due date, Onyx may suspend the account until it is; data is retained during suspension.

5. Term, renewal and cancellation

Monthly subscriptions renew each month; annual subscriptions renew each year. You may cancel at any time from Settings → Billing, from the link in any billing email, or by written notice to hello@onyxdine.com. Cancellation takes effect at the end of the current period; no further charges are made. Refunds are governed by the Cancellation & Refund Policy. Onyx may end the agreement with 30 days' notice, or immediately for a material breach that is not cured within 10 days of notice.

6. Your obligations

• Provide accurate account and billing information and keep it current.
• Use the Service only for your own business and in compliance with law, including tax, consumer-protection, language and anti-spam rules that apply to your restaurant.
• Configure taxes, tips and receipts correctly for your jurisdiction; Onyx provides the tools, you are responsible for the settings.
• Keep staff credentials confidential and assign appropriate roles.

7. Onyx's obligations

• Provide the Service substantially as described, with a target of 99% monthly availability for the web platform, excluding announced maintenance.
• Provide support 8am–12am ET, 7 days a week, per the escalation matrix.
• Protect your data as described on the Security page and in the Privacy Policy, and process personal information only on your instructions and for providing the Service.
• Give at least 30 days' notice of material changes to the Service that reduce functionality you rely on.

8. Data

You own the data you enter and the data generated by your operations. You may export it at any time during the term and for 30 days after termination, after which it is deleted from live systems and rotated out of backups within 90 days. Onyx may use aggregated, de-identified data to improve the Service.

9. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for this agreement. This survives termination for 3 years.

10. Warranties and liability

Onyx warrants that it will provide the Service with reasonable skill and care. Except as stated, the Service is provided "as is". To the extent permitted by law, neither party is liable for indirect or consequential loss, and Onyx's total liability under this agreement is limited to the fees paid by you in the 12 months before the claim. Nothing limits liability for fraud, wilful misconduct, or anything that cannot be limited under Québec or Canadian law.

11. General

This agreement, the Terms of Service and the policies it references are the entire agreement. It is governed by the laws of Québec and applicable federal law; disputes go first to hello@onyxdine.com (subject "Legal") and, if unresolved in 30 days, to the courts of Montréal. If any clause is unenforceable, the rest stands. Notices to Onyx go to hello@onyxdine.com; notices to you go to the account email. Onyx may update this agreement with 30 days' notice; continued use after the effective date is acceptance.
